Terms of Service

1. Services

Poimen Leadership provides leadership development, executive coaching, organizational consulting, and related services as described on our website and in individual service agreements. The specific scope, duration, pricing, and deliverables of each engagement are defined in a separate Service Agreement signed by both parties before work begins.

2. Eligibility

Our services are intended for individuals aged 18 and over and for organizations operating legally in their respective jurisdictions. By booking or engaging our services, you represent that you meet these requirements.

3. Bookings and Agreements

All engagements are initiated via a discovery call and confirmed through a signed Service Agreement. No engagement is considered confirmed until:

• A Service Agreement has been signed by both parties
• An initial deposit has been received (where applicable)
• You have received a written confirmation from Poimen Leadership

We reserve the right to decline any booking at our discretion if we determine that the engagement is not a suitable fit.

4. Fees and Payment

Fees for all services are outlined in your individual Service Agreement. General pricing guidelines are available on our Services page and in our FAQ. Payment terms are as follows:

• A non-refundable deposit (typically 30–50% of total fees) is due upon signing
• Remaining balances are due as specified in the Service Agreement
• Late payments may incur a 5% monthly surcharge after 14 days past due
• All prices are quoted in USD unless otherwise stated in writing

5. Cancellations and Refunds

We understand that circumstances change. Our policy is as follows:

• Session cancellation: 24 hours notice required. Sessions cancelled with less than 24 hours notice may be forfeited. One no-notice reschedule per engagement is accommodated.
• Full engagement cancellation: If you cancel within the first two sessions, your deposit will be refunded in full. After the second session, deposits are non-refundable, but any sessions not yet delivered will be refunded on a pro-rata basis.
• Cancellation by Poimen: In the rare event we must cancel an engagement, we will provide a full refund of all fees paid and reasonable notice wherever possible.

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding all information shared during engagements. This includes business strategies, personal information, organizational data, and proprietary methodologies. This obligation survives the end of the engagement. For institutional clients, specific NDA terms are included in the Service Agreement.

7. Intellectual Property

All methodologies, frameworks, tools, written materials, and content created or provided by Poimen Leadership remain the intellectual property of Poimen Leadership. Clients are granted a personal, non-transferable license to use materials provided to them for their own development purposes. Materials may not be reproduced, distributed, or used commercially without written consent.

8. Limitation of Liability

Poimen Leadership's services are educational and developmental in nature. We do not guarantee specific outcomes, results, promotions, or business success. Our total liability for any claim arising from our services is limited to the total fees paid by you for the specific engagement in question. We are not liable for indirect, incidental, or consequential damages.

9. Professional Boundaries

Coaching and consulting services provided by Poimen Leadership are not a substitute for professional psychological, medical, legal, or financial advice. Clients experiencing clinical mental health challenges are encouraged to seek the support of a licensed mental health professional.

10. Website Use

You may use our website for lawful purposes only. You agree not to:

• Attempt to gain unauthorized access to any part of our website or systems
• Reproduce, copy, or distribute any content from our site without permission
• Use our website to transmit spam, malware, or harmful content
• Misrepresent your identity or affiliation when contacting us

11. Governing Law

These Terms are governed by the laws of the Republic of Ghana. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Ghana, unless otherwise agreed in writing.

12. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes take effect upon posting to this page. Continued use of our services after changes are posted constitutes acceptance. We will notify active clients of material changes by email.
